These End-User Terms apply to you (the “'''End User'''”) as user of the Tygron Platform and the Client Application(s) of Tygron B.V. (“'''Tygron'''”). Upon installation of the Client Application, the End User declares to be bound by these End-User Terms.




Tygron is entitled to unilaterally amend these End-User Terms. Any new version of the End-User Terms must be re-confirmed by the End User prior to the further use of the Tygron Platform and the client Application(s). If the End User does not agree to the amendments, the End User must cease its use of the Tygron Platform and the Client Application(s).


Any and all End Users are bound by the terms and conditions as agreed upon between Tygron and Licensee. Use of the Computer Programs by End User requires compliance the license agreement between Tygron and Licensee. In the event End User has any questions with respect to the use of the Computer Programs of the license agreement, please contact the Licensee who provided the End User with access to the Computer Programs. The following End User Conditions are – notwithstanding the forgoing – applicable to the relation between Tygron and any person using the Computer Programs of Tygron hosted of the Server, executing an Editor Session or a User Session. All capitalized terms in this End-User Conditions, shall have the following meaning:

In compliance with these End-User Terms, the End User uses the Client Application to gain access to the Licensee’s Domain in order to use the Tygron Platform.


Article 1 Copying and confidentiality
The right obtained under section 1 is non-exclusive and non-transferrable and is obtained for the duration of the Licence between the Licensee and Tygron.


1.1 End User will not make the Computer Programs public or copy them and/or otherwise duplicate and/or distribute them.
1.3The End User is not allowed, whether directly or indirectly: 


1.2 End User will keep user names, passwords and other access data for use of the Computer Programs secret, and shall not divulge them to any third party persons.
a) to disclose, distribute, sell, copy and/or in any other way multiply the Tygron Platform and/or the Client Application(s);


1.3 End User is not permitted to change or delete any designation of or reference to Tygron, the exclusive right of Tygron to the intellectual property relating to the Computer Programs, the identity of the creators of the Computer Programs, the confidential nature of the Computer Programs, or any other reference Tygron has included in the Computer Programs.
b) to change or decompile the Tygron Platform and/or the Client Application(s), to multiply their code, to translate them or in any otherwise subject them to reverse engineering; 


1.4 Following termination of the license agreement Tygron will disable access to the Computer Programs on the Server.
c) to use the Tygron Platform and/or the Client Application(s) for a purpose other than for the Editor Sessions and Impact Sessions;


d) (to cause) to disseminate viruses, worms, Trojan Horses, rootkits, spyware, hoaxes or other forms of malware; 


e) to (try and) hack the Tygron Platform and/or the Client Application(s) and/or to (cause to) gain unauthorised access thereto in any other manner;


Article 2 Reverse engineering and modification
f) to change or remove any indication or referral in the Tygron Platform and/or the Client Application(s) to Tygron, Tygron’s exclusive IP rights, their confidential nature, or any other referral by Tygron.


2.1 End User is not permitted to modify or decompile the Computer Programs, or duplicate and/or translate the code, or otherwise reverse engineer the code.
1.4The End User shall furthermore warrant that no legislation or regulations or third-party rights are violated by any entered Content. This means that the End User must refrain from:


2.2 End User is responsible for ensuring that during and from the use of the Computer Programs no government regulation or contractual obligation to Tygron or a third party is violated. Among other things, this means that End User when using the Computer Programs refrains from:
a) (causing) to leave behind or (causing) to disseminate information in contravention of the law, the generally accepted and applied ethics and care; 


a. spreading viruses or having them spread;  
b) (causing) to delete or change data or make them ineffective or add data to the Client Application(s) or to automated systems, computers, databases or servers of Tygron or of third parties;  


b. leaving in the Computer Programs information that is contrary to the law, good morals or violate the standard of due care observed in society, or distributing such information; or having such information left in the Computer Programs or distributed;  
c) (causing) to delete, change or enter personal data of third parties – without permission or other legitimate basis;  


c. hacking and/or otherwise enabling unauthorised access to the Server (and/or interfering with it), or having such hacking and/or enabling carried out;
d) (causing) to enter Content infringing IP rights or other statutory rights (such as privacy rights) of third parties. 


d. gaining unauthorised access to automated systems, computers, databases or servers of third parties; or having such access gained;
1.5Tygron is entitled to the use of the Tygron Platform and/or the Client Application(s) by checking the End User as well as any results from the Editor Sessions and/or Impact Sessions for the limitations described in this Article.


e. erasing, modifying, or disabling the Computer Programs or Server, or adding data to them or to the automated systems, computers, databases or servers of third parties; or having such actions carried out.
1.6The End User is responsible for any activities taking place through the End User’s account. The End User shall observe secrecy with regard to any usernames, passwords and other access details under the terms of the Application and shall not disclose them to third parties. The End User must notify the Administrator and/or Tygron promptly once the End User has stated that a third party has gained unauthorised access to his account.  
 


2.3 Tygron has the right to check the use of the Computer Programs by End User, and the output of the User Sessions and Editor Sessions to monitor on the aforementioned prohibited acts. 
'''Article 2Verification of Use and Access Restriction''' 


2.1 The End User is individually responsible for (i) using the appropriate hardware, which is actively connected to the internet in order to be able to use the Client Application(s). Tygron does not guarantee compatibility or the appropriate operation of the Client Application(s) in combination with all of the End User’s hardware or software. With respect to the appropriate operation of the Client Application(s), Tygron recommends using hardware, software and systems that meet the system requirements set down by Tygron. Tygron shall not at any time bear liability for any loss resulting from incompatibility of the End User’s hardware or software with the Client Application(s).


Tygron may at all times de-activate access to the Tygron Platform and/or the Client Application(s) (temporarily) or limit its use where necessary for maintenance purposes or for implementing updates, for releases, adjustments or improvements in the Tygron Platform and/or the Client Application(2).


Article 3 Intellectual Property Rights
Tygron reserves the right to stop certain calculations within a Project in case this causes limitation to the functionality of the Tygron Platform for other licensees or end users. Tygron shall not be liable for any resulting loss. 


3.1 All intellectual property rights relating to the Computer Programs and the products, concepts and data resulting from the use of the Computer Programs (the “IP”) are vested in Tygron and not End User. End User confers only a limited user right in relation to the IP.
Tygron is authorised to verify (i) how the Tygron Platform and/or the Client Application(s) are used by the End User, (ii) the results obtained with the Impact Sessions and the Editor Session, (iii) the End User’s Content.


3.2 Some components of the Computer Programs use third party software and/or open source software (collectively referred to as the “Third Party Software”). References to such Third Party Software and/or related licence conditions are included in the Computer Programs. Use of the Third Party Software is subject to the relevant licence conditions of the Third Party Software. Upon request, Tygron can provide more information on the Third Party Software.  
Tygron observes confidentiality in saving these data as referred to in Article 2.4 for at least the duration of the agreement with the Licensee and up to two years subsequently, subject to anonymised data, which may be retained longer for statistic purposes. Tygron shall only use the data: (i) for the improvement and updates of the Tygron Platform and/or the Client Application(s) and (ii) for the verification of compliance by the End User with the obligations from the agreement and these End-User Terms.  


3.3 Tygron is always permitted to implement technical measures for the protection of the Computer Programs, the IP and/or the Third Party Software. End User shall never be permitted to remove or circumvent such features, or have them removed or circumvented.  
If the End User needs practical support with regard to the use of the Tygron Platform and/or the Client Application(s), the End User must contact the Administrator who gave the End User access to the Client Application(s) on behalf of the Licensee.

Article 4 Updates, enhancements and User Data
3.1Any IP rights regarding the Tygron Platform, the Client Application(s) and any other services provided by Tygron shall be vested in Tygron and/or its licensors only. The End User shall only obtain a limited and temporary user right with regard to the use of the Tygron Platform within the Domain and under the terms of these End-User Terms.


4.1 Although the Computer Programs have been built with great care, Tygron does not guarantee that the Computer Programs are free of errors and/or omissions. Tygron continually endeavors to remedy defects in the Computer Programs as quickly as possible. Furthermore, Tygron does not guarantee that the Computer Programs are suitable for End Users intended use.   
3.2Third-party software and/or open-source software (jointly the “'''third party software'''”) are used for parts of the Tygron Platform and the Client Application(s). Referrals to such third-party software and/or relevant (licence) terms are adopted in the Tygron Platform and the Client Application(s). The use of third-party software is subject to the relevant (licence) terms, which can be provided by Tygron to the End User at first request.   


4.2 Tygron can at any time implement automatic updates in and make changes to the Computer Programs in order to improve the performance of the Computer Programs. Tygron endeavors to ensure that updates are implemented without problems, but cannot guarantee the compatibility of the Computer Programs with applications, such as hardware, software or systems of Licensor and/or End User pre-date a particular update.  
3.3Tygron shall at all times be allowed to implement technical facilities for the protection of the Tygron Platform, the Client Application(s) (including the relevant IP rights) and/or the third-party software, even if this should cause a limitation of use. The End User shall not at any time be allowed to (cause to) remove or (cause to) circumvent such technical facility.  


4.3 Tygron is authorised to record and save the “User Data”, which includes: (i) the manner in which End Users use the Computer Programs, (ii) the output from User Sessions and Editor Sessions, (iii) the identification data of the End Users. Tygron saves and stores the User Data confidentially for at least the duration of the agreement with Licensee and for one year thereafter. Tygron utilises the User Data only to (i) improve the Computer Programs and keep them up to date; and (ii) check the fulfilment by Licensee and/or the End Users of their obligations following from the agreement with Licensee and this End-User Conditions.

4.1 Even though the Tygron Platform and the Client Application(s) have been compiled with utmost care, Tygron does not guarantee that the Tygron Platform and the Client Application(s) operate flawlessly and/or contain no faults. The Tygron Platform and the Client Application(s) are provided ‘AS IS’. Where permitted by law, Tygron dismisses any explicit or implicit guarantees including the implicit guarantee that the Tygron Platform and the Client Application(s) are suited for a certain purpose. 


Article 5 Liability
4.2Tygron does not provide any guarantees with respect to, and does not bear any liability for any loss resulting from: (i) the fact that the Tygron Platform and/or the Client Application(s) do not meet the End User’s expectations, (ii) the fact that the Tygron Platform and/or the Client Application(s) are not or not without any faults or without any interruptions available, (iii) the effectiveness, accuracy or reliability of the results obtained through an Editor Session and/or Impact Session, (iv) the Content entered by the End User, (v) the correctness and completeness of third-party data within the Tygron Platform.


5.1 Notwithstanding the other provisions of this Article 5, Tygron is not liable for damage of any nature whatsoever that End User suffers, or for which a third party holds Tygron liable, unless the damage is the result of intention or wilful negligence on the part of Tygron.


5.2 Tygron is not liable for the fulfilment of any obligation that is prevented by force majeure, or for payment of compensation for any damage that results from force majeure. Force majeure is understood to also include (i) government regulations, (ii) power failures, (iii) malfunctions of the Internet, computer networks or telecommunication facilities, (iv) war, (v) sit-ins, (vi) strikes, (vii) general transport problems, (viii ) defects in items, equipment, computer programs or materials that Licensee has requested the use of, (ix) force majeure affecting Tygron’s suppliers, (x) non-fulfilment of obligations on the part of suppliers that have been designated by Licensee.

5.3 Furthermore, every liability of Tygron and the possibility to claim compensation from Tygron lapse if Tygron has not immediately been informed about the events that resulted in the damage, in any event no later than 5 days after the events were known, even if it were not clear at the time that these events could have resulted in damage. The possibility to claim compensation from Tygron also lapses if the events that resulted in the damage were communicated in time to Tygron, but the claim for damage was not made the subject of legal proceedings within 12 months after the damage occurred.  
5.1Without prejudice to the other provisions in this Article, Tygron shall not, where permitted by law – bear any liability for any loss whatsoever suffered by the End User or any loss Tygron may be held liable for by third parties. Any liability on the part of Tygron, on any account whatsoever, shall at any rate be limited to a compensation of the direct loss, i.e. up to an amount of € 250.  


5.4 Tygron is not liable for the way in which the results of an Editor Session and/or a User Session are interpreted and/or implemented. End User indemnifies Tygron against any claims of third parties in connection with the use of the Computer Programs and/or any results from User Sessions, Editor Sessions and/or User Data.  
5.2 Tygron shall in no case whatsoever bear any liability for any consequential loss, such as, however not limited to loss of income, loss of profits, loss of Content suffered by the End User as a result of his use of the Tygron Platform.


5.5 Tygron is not liable for damages resulting from the total or partial inability to use the Computer Programs owing to internal or external disruptions, interruptions by Tygron and/or third parties of any connections, malfunctions of the Internet or at providers, or faults of other third parties, as a result of End Users use of the Computer Programs.  
5.3Tygron shall not be bound by the fulfilment of any obligation, which is prevented by, or the compensation of any loss, which is the result of force majeure. Force majeure includes (i) government measures, (ii) electricity failure, (iii) internet failure, breakdown of the computer network or telecommunication facilities including internet providers and/or datacentres, (iv) war, (v) lock-in, (vi) strike, (vii) defective items, equipment, software or materials, which use has been requested by the Licensee, (viii) force majeure on the part of Tygron, (x) policy changes and/or the suppliers’ default in third-party software.  


5.6 The capacity of the Server is based on reasonable - and by Tygron estimated - use of the Computer Programs by End Users. If use of the Computer Programs requires more capacity from the Server than estimated by Tygron (whether or not because of peak loads), this might block access to the Server, thereby preventing use of the Computer Programs. Tygron is not liable for any damage that this causes. Tygron is authorised to implement technical measures to deal with overloading of the Server, including the option of denying End User to access to the Computer Programs.  
5.4The capacity of the Tygron Platform has been designed for a fair use by the Licensee of the Tygron Platform– as estimated by the Licensor. If the use of the Tygron Platform (whether or not due to peak loads) requires more capacity than estimated by the Licensor, the Licensor may (temporarily) block access to the Tygron Platform and the Client Application(s), which means that the Tygron Platform can (temporarily) not be used. Tygron is not liable for any resulting loss.  


5.7 End Users are responsible for using the appropriate hardware, with an active connection to the Internet, in order to use the Computer Programs. Tygron does not guarantee compatibility or correct operation of the Computer Programs in combination with all hardware items. For the correct operation of the Computer Programs, Tygron recommends the use of hardware and systems that are mentioned on the website of Tygron. Tygron is not liable, however, for damage due to incompatibility of hardware with the Computer Programs.  
5.5The End User indemnifies Tygron and holds it harmless against any claims, demands, loss and/or costs resulting from or related to the use of het Tygron Platform by the End User, as well as the Content entered by the End User.


   
   


Article 6 Governing law and disputes

6.1 These End-User Terms are governed by Dutch law only. 
 
6.2If any provisions of these Licence Terms are null and void or should be cancelled, the remaining provisions of these Licence Terms shall continue to be fully effective. Tygron and the Licensee shall in that case consult with each other in order to agree to new provisions for the replacement of the null and void or cancelled provisions, while the purpose and the purport of the null and void or cancelled provisions shall be as much as possible in keeping with the replaced provisions.


Any Agreement between an End User and Tygron is governed exclusively by Dutch law. All disputes arising from this Agreement and/or between End User and Tygron are submitted exclusively to the competent court in The Hague, the Netherlands.
6.3Where Tygron opts for continuation of an infringement, Tygron shall not be considered to have in any way waived its rights on account of these Licence Terms. Tygron may in such case at any time assert its rights for reasons of its own.

Article 1End-User Rights

In compliance with these End-User Terms, the End User uses the Client Application to gain access to the Licensee’s Domain in order to use the Tygron Platform.

1.4The End User shall furthermore warrant that no legislation or regulations or third-party rights are violated by any entered Content. This means that the End User must refrain from:

Tygron shall not at any time bear liability for any loss resulting from incompatibility of the End User’s hardware or software with the Client Application(s).

Article 3Intellectual Property Rights

3.1Any IP rights regarding the Tygron Platform, the Client Application(s) and any other services provided by Tygron shall be vested in Tygron and/or its licensors only. The End User shall only obtain a limited and temporary user right with regard to the use of the Tygron Platform within the Domain and under the terms of these End-User Terms.

3.2Third-party software and/or open-source software (jointly the “third party software”) are used for parts of the Tygron Platform and the Client Application(s). Referrals to such third-party software and/or relevant (licence) terms are adopted in the Tygron Platform and the Client Application(s). The use of third-party software is subject to the relevant (licence) terms, which can be provided by Tygron to the End User at first request.

3.3Tygron shall at all times be allowed to implement technical facilities for the protection of the Tygron Platform, the Client Application(s) (including the relevant IP rights) and/or the third-party software, even if this should cause a limitation of use. The End User shall not at any time be allowed to (cause to) remove or (cause to) circumvent such technical facility.


Article 4Disclaimer

4.1 Even though the Tygron Platform and the Client Application(s) have been compiled with utmost care, Tygron does not guarantee that the Tygron Platform and the Client Application(s) operate flawlessly and/or contain no faults. The Tygron Platform and the Client Application(s) are provided ‘AS IS’. Where permitted by law, Tygron dismisses any explicit or implicit guarantees including the implicit guarantee that the Tygron Platform and the Client Application(s) are suited for a certain purpose.

4.2Tygron does not provide any guarantees with respect to, and does not bear any liability for any loss resulting from: (i) the fact that the Tygron Platform and/or the Client Application(s) do not meet the End User’s expectations, (ii) the fact that the Tygron Platform and/or the Client Application(s) are not or not without any faults or without any interruptions available, (iii) the effectiveness, accuracy or reliability of the results obtained through an Editor Session and/or Impact Session, (iv) the Content entered by the End User, (v) the correctness and completeness of third-party data within the Tygron Platform.


Article 5Liability and indemnification

5.1Without prejudice to the other provisions in this Article, Tygron shall not, where permitted by law – bear any liability for any loss whatsoever suffered by the End User or any loss Tygron may be held liable for by third parties. Any liability on the part of Tygron, on any account whatsoever, shall at any rate be limited to a compensation of the direct loss, i.e. up to an amount of € 250.

5.2 Tygron shall in no case whatsoever bear any liability for any consequential loss, such as, however not limited to loss of income, loss of profits, loss of Content suffered by the End User as a result of his use of the Tygron Platform.

5.3Tygron shall not be bound by the fulfilment of any obligation, which is prevented by, or the compensation of any loss, which is the result of force majeure. Force majeure includes (i) government measures, (ii) electricity failure, (iii) internet failure, breakdown of the computer network or telecommunication facilities including internet providers and/or datacentres, (iv) war, (v) lock-in, (vi) strike, (vii) defective items, equipment, software or materials, which use has been requested by the Licensee, (viii) force majeure on the part of Tygron, (x) policy changes and/or the suppliers’ default in third-party software.

5.4The capacity of the Tygron Platform has been designed for a fair use by the Licensee of the Tygron Platform– as estimated by the Licensor. If the use of the Tygron Platform (whether or not due to peak loads) requires more capacity than estimated by the Licensor, the Licensor may (temporarily) block access to the Tygron Platform and the Client Application(s), which means that the Tygron Platform can (temporarily) not be used. Tygron is not liable for any resulting loss.

5.5The End User indemnifies Tygron and holds it harmless against any claims, demands, loss and/or costs resulting from or related to the use of het Tygron Platform by the End User, as well as the Content entered by the End User.


Article 6 Applicable Law and other Provisions

6.1 These End-User Terms are governed by Dutch law only.

6.2If any provisions of these Licence Terms are null and void or should be cancelled, the remaining provisions of these Licence Terms shall continue to be fully effective. Tygron and the Licensee shall in that case consult with each other in order to agree to new provisions for the replacement of the null and void or cancelled provisions, while the purpose and the purport of the null and void or cancelled provisions shall be as much as possible in keeping with the replaced provisions.

6.3Where Tygron opts for continuation of an infringement, Tygron shall not be considered to have in any way waived its rights on account of these Licence Terms. Tygron may in such case at any time assert its rights for reasons of its own.

De Eindgebruiker is bij het gebruiken van de Programmatuur te allen tijde gebonden aan hetgeen Tygron heeft afgesproken met Licentienemer in de licentieovereenkomst. Het gebruik van de Programmatuur dient te geschieden binnen de voorwaarden zoals vastgelegd in die licentieovereenkomst. Indien de Eindgebruiker vragen heeft over het gebruik van de Programmatuur en de licentieovereenkomst dient de Eindgebruiker zicht tot de Licentienemer te wenden die aan de Eindgebruiker toegang heeft doen verschaffen tot de Programmatuur. De volgende voorwaarden zijn – onverminderd het voorgaande - van toepassing op de relatie tussen Tygron en iedere persoon die de Programmatuur van Tygron, die op de Server wordt gehost, gebruikt ter uitvoering van een Editorsessie en/of een Gebruikerssessie. De termen met een hoofdletter hebben de volgende betekenis:


App: de te downloaden applicatie waarmee (met gebruik van een wachtwoord en gebruikersnaam) een Sessie kan worden uitgevoerd.

Editorsessie: de Sessie waarbij Eindgebruiker zelfstandig een product of concept samenstelt of data verzamelt.

Eindgebruiker: de persoon die gebruik maakt van de Programmatuur.

Eindgebruikersvoorwaarden: deze voorwaarden.

Gebruiksgegevens: heeft de betekenis als bedoeld in artikel 4.3.

Gebruikssessie: de Sessie waarbij (i) een door Tygron samengesteld product of verzorgd concept wordt gebruikt (al dan niet ter vergaring van data) of (ii) een door Licentienemer zelfstandig samengesteld product of concept wordt gebruikt (al dan niet ter vergaring van data).

IE: heeft de betekenis als vermeld in artikel 3.1.

Licentienemer: de partij waarmee Tygron een licentieovereenkomst heeft afgesloten voor het gebruik van de Programmatuur en die van Tygron de exclusieve bevoegdheid heeft gekregen Apps te distribueren aan Eindgebruikers.

Programmatuur: de Apps en de software van Tygron die op de Server wordt gehost ter uitvoering van een Editorsessie en/of een Gebruikerssessie.

Sessie: het door een of meer Eindgebruikers (opnieuw) opstarten van de Programmatuur.

Server: de server van Tygron waarop Programmatuur gehost wordt.

Third Party Software: de third party software als bedoeld in artikel 3.2.

Tygron: betekent Tygron B.V. gevestigd op de Lange Voorhout 46, 2514 EG, Den Haag in Nederland.


Artikel 1 Kopiëren en vertrouwelijkheid

1.1 Eindgebruiker zal de Programmatuur niet openbaar maken en deze niet kopiëren en/of anderszins verveelvoudigen en/of distribueren.

1.2 Eindgebruiker zal eventuele gebruikersnamen, wachtwoorden en andere toegangsgegevens waarmee de Programmatuur kan worden gebruikt geheim houden en niet aan anderen verstrekken.

1.3 Het is Eindgebruiker niet toegestaan enige aanduiding of verwijzing in de Programmatuur naar Tygron, het exclusieve recht van Tygron op het (intellectuele) eigendom betreffende de Programmatuur, de identiteit van de makers van de Programmatuur, het vertrouwelijk karakter van de Programmatuur, of enige andere verwijzing door Tygron aangebracht in de Programmatuur, te wijzigen of te verwijderen.

1.4 Na beëindiging van de licentieovereenkomst zal Tygron de toegang tot de Programmatuur op de Server deactiveren.


Artikel 2 Reverse engineering en wijzigen

2.1 Het is Eindgebruiker niet toegestaan de Programmatuur te wijzigen, te decompileren, de code te verveelvoudigen en/of te vertalen of anderszins aan reverse engineering te onderwerpen.

2.2 Eindgebruiker staat er voor in dat bij en met het gebruik van de Programmatuur geen regelgeving van overheidswege of contractuele plicht jegens Tygron of een derde wordt geschonden. Dit houdt onder andere in dat Eindgebruiker bij het gebruik van de Programmatuur zich onthoudt van:

a. het (doen) verspreiden van virussen;

b. het in de Programmatuur (doen) achterlaten of (doen) verspreiden van informatie die in strijd is met de wet, de goede zeden en de maatschappelijke zorgvuldigheid;

c. het (doen) hacken en/of het op enige andere wijze ongeautoriseerd toegang (doen) verschaffen tot (en/of manipuleren van) de Server;

d. het zich zonder toestemming toegang (doen) verschaffen tot geautomatiseerde systemen, computers, databases of servers van derden;

e. het (doen) wissen, veranderen, onbruikbaar maken van of gegevens toevoegen aan de Programmatuur, Server of aan geautomatiseerde systemen, computers, databases of servers van derden.

2.3 Tygron heeft het recht het gebruik van de Programmatuur door Eindgebruiker en de producten voortvloeiende uit de Gebruikssessies en de Editorsessies te controleren op de hiervoor beschreven uitgesloten handelingen.


Artikel 3 Intellectuele Eigendomsrechten

3.1 Alle rechten van intellectuele eigendom betreffende de Programmatuur en de producten, concepten en data die resulteren uit een gebruik van de Programmatuur (het “IE”) berusten bij Tygron. Eindgebruiker verkrijgt uitsluitend een beperkt gebruiksrecht.

3.2 Onderdelen van de Programmatuur maken gebruik van software van derden en/of open source software (gezamenlijk de “Third Party Software”). Verwijzingen naar dergelijke Third Party Software en/of bijbehorende (licentie)voorwaarden zijn opgenomen in de Programmatuur. Het gebruik van de Third Party Software is onderworpen aan de desbetreffende licentievoorwaarden. Op verzoek kan Tygron meer informatie over de Third Party Software verstrekken.

3.3 Het is Tygron te allen tijde toegestaan technische voorzieningen aan te brengen ter bescherming van de Programmatuur, het IE en/of de Third Party Software. Het is Eindgebruiker nimmer toegestaan een dergelijke technische voorziening te (laten) verwijderen of te (laten) omzeilen.


Artikel 4 Updates, verbeteringen en Gebruiksgegevens

4.1 Ondanks dat de Programmatuur met grote zorg is samengesteld, garandeert Tygron niet dat de Programmatuur foutloos werkt en/of zonder omissies is. Tygron streeft er voortdurend naar om gebreken in de Programmatuur zo spoedig mogelijk op te lossen. Voorts garandeert Tygron niet dat de Programmatuur geschikt is voor het doel dat Eindgebruiker beoogt.

4.2 Tygron kan te allen tijden automatische updates en veranderingen in de Programmatuur doorvoeren of aan de Programmatuur toevoegen om het functioneren van de Programmatuur te verbeteren. Tygron streeft ernaar dat de implementatie van updates foutloos geschiedt, maar kan de compatibiliteit van de Programmatuur na een update met toepassingen, waaronder hardware, software of systemen van Licentienemer en/of Eindgebruiker, gedateerd voor de update niet garanderen.

4.3 Tygron is bevoegd (i) de wijze waarop Eindgebruikers gebruik maken van de Programmatuur, (ii) de met de Gebruikssessies en Editorsessie verkregen resultaten en/of (iii) de identificatiegegevens van de Eindgebruikers (de “Gebruiksgegevens”) te registreren en te bewaren. Tygron bewaart de Gebruiksgegevens vertrouwelijk voor ten minste de duur van de overeenkomst met Licentienemer en tot een jaar daarna. Tygron wendt de Gebruiksgegevens slechts aan (i) ter verbetering en actualisering van de Programmatuur, en (ii) controle op de naleving door Licentienemer en/of Eindgebruikers van de verplichtingen voortvloeiende uit de overeenkomst met Licentienemer en deze Eindgebruikersvoorwaarden.


Artikel 5 Aansprakelijkheid

5.1 Onverminderd de overige bepalingen in dit artikel 5 is Tygron niet aansprakelijk voor schade in welke zin dan ook die Eindgebruiker lijdt of waar Tygron door derden voor aansprakelijk wordt gehouden, tenzij de schade het gevolg is van opzet of bewuste roekeloosheid van Tygron.

5.2 Tygron is niet gehouden tot het nakomen van enige verplichting die verhinderd wordt door, of de vergoeding van enige schade die het gevolg is van, overmacht. Onder overmacht wordt mede verstaan (i) overheidsmaatregelen, (ii) elektriciteitsstoring, (iii) storing van internet, computernetwerk- of telecommunicatiefaciliteiten, (iv) oorlog, (v) werkbezetting, (vi) staking, (vii) algemene vervoersproblemen, (viii) de gebrekkigheid van zaken, apparatuur, programmatuur of materialen waarvan het gebruik door Licentienemer is verzocht, (ix) overmacht van toeleveranciers van Tygron, (x) het niet naar behoren nakomen van verplichtingen van toeleveranciers die door Licentienemer zijn aangedragen.

5.3 Voorts vervalt iedere aansprakelijkheid van Tygron en de mogelijkheid om van Tygron schadevergoeding te vorderen indien Tygron niet is ingelicht over de feiten die aanleiding hebben gegeven tot de schade onmiddellijk doch in ieder geval niet later dan 5 dagen nadat deze feiten bekend waren, ook indien toen nog niet duidelijk was dat deze feiten tot schade zouden kunnen leiden. De mogelijkheid om van Tygron een schadevergoeding te vorderen vervalt voorts indien de feiten die aanleiding hebben gegeven tot de schade tijdig aan Tygron bekend zijn gemaakt, doch de vordering tot schadevergoeding niet binnen 12 maanden nadat de schade zich heeft voorgedaan in een juridische procedure aanhangig is gemaakt.

5.4 Tygron is voorts niet aansprakelijk voor de wijze waarop de resultaten van een Editorsessie en/of een Gebruikerssessie worden geïnterpreteerd en/of geïmplementeerd. Eindgebruiker vrijwaart Tygron voor eventuele aanspraken van derden in verband met het gebruik van de Programmatuur door Eindgebruiker en/of de eventuele resultaten van de Gebruikerssessies en de Editorsessies en/of de Gebruiksgegevens ten gevolge van het gebruik van de Programmatuur door Eindgebruiker.

5.5 Tygron is niet aansprakelijk voor geleden schade als gevolg van het niet of beperkt kunnen gebruiken van de Programmatuur als gevolg van interne en externe storingen, onderbrekingen bij Tygron en/of derden van enige verbinding, storingen van het internet of bij providers, of tekortkomingen van andere derden.

5.6 De capaciteit van de Server is ingericht op een redelijk – en het door Tygron geschatte – gebruik van de Programmatuur door Eindgebruiker. Indien het gebruik van de Programmatuur (al dan niet door piek belasting) meer capaciteit van de Server vergt dan door Tygron ingeschat, kan dit de toegang tot de Server blokkeren waardoor het gebruik van de Programmatuur niet mogelijk is. Tygron is niet aansprakelijk voor de eventuele schade die dit tot gevolg heeft. Tygron is bevoegd technische voorzieningen te implementeren ten einde overbelasting van de Server tegen te gaan, waaronder de mogelijkheid om Eindgebruiker de toegang tot de Programmatuur te ontnemen.

5.7 Eindgebruiker is verantwoordelijk voor gebruikmaking van de juiste hardware, die actief is verbonden met het internet, ten einde gebruik te kunnen maken van de Programmatuur. Tygron garandeert niet de compatibiliteit of de juiste werking van de Programmatuur in combinatie met alle hardware. Voor een juiste werking van de Programmatuur adviseert Tygron gebruik te maken van hardware en systemen die voldoen aan de systeemeisen zoals beschreven op de website van Tygron. Tygron is echter niet aansprakelijk voor schade als gevolg van incompatibiliteit van hardware met de Programmatuur.


Artikel 6 Toepasselijk recht en geschillen

Iedere overeenkomst tussen Eindgebruiker en Tygron wordt exclusief beheerst door het Nederlands recht. Geschillen tussen Eindgebruiker en Tygron worden exclusief voorgelegd aan de bevoegde rechter in ’s-Gravenhage.
