These End-User Terms apply to you (the “End User”) as user of the Tygron Platform and the Client Application(s) of Tygron B.V. (“Tygron”). Upon installation of the Client Application, the End User declares to be bound by these End-User Terms.
Tygron is entitled to unilaterally amend these End-User Terms. Any new version of the End-User Terms must be re-confirmed by the End User prior to the further use of the Tygron Platform and the client Application(s). If the End User does not agree to the amendments, the End User must cease its use of the Tygron Platform and the Client Application(s).
Capitalised terms in these End-User Terms are defined as follows:
Administrator: the person assigned by the Licensee to manage the Domain on behalf of the Licensee
Client Application(s): the downloadable and/or web-based Tygron-application(s) used to gain access (through a password and username) to the Domain in order to use the Tygron Platform
Content: the data or particulars entered by the End User within the Domain
Domain: Domain: the closed environment within the Tygron Platform provided to the Licensee and in which End User(s) may enter Content and perform Editor or Impact Sessions
Editor Session: a session in which the End User individually edits a Loaded Project
End-User Terms: these terms, which are binding upon each End User with regard to the use of the Tygron Platform and the Client Application(s)
Impact Session: the session in which a Project – whether or not after an Editor Session – is used by one or more End Users
IP rights: intellectual-property rights, both registered and non-registered, including, however not limited to patent rights, copyrights (including rights to source and object codes), database rights, brand rights, rights related to knowhow and company secrets
Licensee: the party with whom Tygron has entered into an agreement for the use of Tygron Platform and the Client Application(s)
Loading: the start-up of a new Project in the Domain for application in an Editor Session and/or an Impact Session
Project: a geographic area within the Netherlands, whether or not supplemented with data and/or the Licensee’s personal settings
Saving: saving the Project after an Editor Session and/or an Impact Session, or keeping a Loaded Project active
Tygron Platform: the Tygron Engine server platform consisting of a combination of software and hardware (such as servers).
Article 1End-User Rights
In compliance with these End-User Terms, the End User uses the Client Application to gain access to the Licensee’s Domain in order to use the Tygron Platform.
The right obtained under section 1 is non-exclusive and non-transferrable and is obtained for the duration of the Licence between the Licensee and Tygron.
1.3The End User is not allowed, whether directly or indirectly:
a) to disclose, distribute, sell, copy and/or in any other way multiply the Tygron Platform and/or the Client Application(s);
b) to change or decompile the Tygron Platform and/or the Client Application(s), to multiply their code, to translate them or in any otherwise subject them to reverse engineering;
c) to use the Tygron Platform and/or the Client Application(s) for a purpose other than for the Editor Sessions and Impact Sessions;
d) (to cause) to disseminate viruses, worms, Trojan Horses, rootkits, spyware, hoaxes or other forms of malware;
e) to (try and) hack the Tygron Platform and/or the Client Application(s) and/or to (cause to) gain unauthorised access thereto in any other manner;
f) to change or remove any indication or referral in the Tygron Platform and/or the Client Application(s) to Tygron, Tygron’s exclusive IP rights, their confidential nature, or any other referral by Tygron.
1.4The End User shall furthermore warrant that no legislation or regulations or third-party rights are violated by any entered Content. This means that the End User must refrain from:
a) (causing) to leave behind or (causing) to disseminate information in contravention of the law, the generally accepted and applied ethics and care;
b) (causing) to delete or change data or make them ineffective or add data to the Client Application(s) or to automated systems, computers, databases or servers of Tygron or of third parties;
c) (causing) to delete, change or enter personal data of third parties – without permission or other legitimate basis;
d) (causing) to enter Content infringing IP rights or other statutory rights (such as privacy rights) of third parties.
1.5Tygron is entitled to the use of the Tygron Platform and/or the Client Application(s) by checking the End User as well as any results from the Editor Sessions and/or Impact Sessions for the limitations described in this Article.
1.6The End User is responsible for any activities taking place through the End User’s account. The End User shall observe secrecy with regard to any usernames, passwords and other access details under the terms of the Application and shall not disclose them to third parties. The End User must notify the Administrator and/or Tygron promptly once the End User has stated that a third party has gained unauthorised access to his account.
Article 2Verification of Use and Access Restriction
2.1 The End User is individually responsible for (i) using the appropriate hardware, which is actively connected to the internet in order to be able to use the Client Application(s). Tygron does not guarantee compatibility or the appropriate operation of the Client Application(s) in combination with all of the End User’s hardware or software. With respect to the appropriate operation of the Client Application(s), Tygron recommends using hardware, software and systems that meet the system requirements set down by Tygron. Tygron shall not at any time bear liability for any loss resulting from incompatibility of the End User’s hardware or software with the Client Application(s).
Tygron may at all times de-activate access to the Tygron Platform and/or the Client Application(s) (temporarily) or limit its use where necessary for maintenance purposes or for implementing updates, for releases, adjustments or improvements in the Tygron Platform and/or the Client Application(2).
Tygron reserves the right to stop certain calculations within a Project in case this causes limitation to the functionality of the Tygron Platform for other licensees or end users. Tygron shall not be liable for any resulting loss.
Tygron is authorised to verify (i) how the Tygron Platform and/or the Client Application(s) are used by the End User, (ii) the results obtained with the Impact Sessions and the Editor Session, (iii) the End User’s Content.
Tygron observes confidentiality in saving these data as referred to in Article 2.4 for at least the duration of the agreement with the Licensee and up to two years subsequently, subject to anonymised data, which may be retained longer for statistic purposes. Tygron shall only use the data: (i) for the improvement and updates of the Tygron Platform and/or the Client Application(s) and (ii) for the verification of compliance by the End User with the obligations from the agreement and these End-User Terms.
If the End User needs practical support with regard to the use of the Tygron Platform and/or the Client Application(s), the End User must contact the Administrator who gave the End User access to the Client Application(s) on behalf of the Licensee.
Article 3Intellectual Property Rights
3.1Any IP rights regarding the Tygron Platform, the Client Application(s) and any other services provided by Tygron shall be vested in Tygron and/or its licensors only. The End User shall only obtain a limited and temporary user right with regard to the use of the Tygron Platform within the Domain and under the terms of these End-User Terms.
3.2Third-party software and/or open-source software (jointly the “third party software”) are used for parts of the Tygron Platform and the Client Application(s). Referrals to such third-party software and/or relevant (licence) terms are adopted in the Tygron Platform and the Client Application(s). The use of third-party software is subject to the relevant (licence) terms, which can be provided by Tygron to the End User at first request.
3.3Tygron shall at all times be allowed to implement technical facilities for the protection of the Tygron Platform, the Client Application(s) (including the relevant IP rights) and/or the third-party software, even if this should cause a limitation of use. The End User shall not at any time be allowed to (cause to) remove or (cause to) circumvent such technical facility.
Article 4Disclaimer
4.1 Even though the Tygron Platform and the Client Application(s) have been compiled with utmost care, Tygron does not guarantee that the Tygron Platform and the Client Application(s) operate flawlessly and/or contain no faults. The Tygron Platform and the Client Application(s) are provided ‘AS IS’. Where permitted by law, Tygron dismisses any explicit or implicit guarantees including the implicit guarantee that the Tygron Platform and the Client Application(s) are suited for a certain purpose.
4.2Tygron does not provide any guarantees with respect to, and does not bear any liability for any loss resulting from: (i) the fact that the Tygron Platform and/or the Client Application(s) do not meet the End User’s expectations, (ii) the fact that the Tygron Platform and/or the Client Application(s) are not or not without any faults or without any interruptions available, (iii) the effectiveness, accuracy or reliability of the results obtained through an Editor Session and/or Impact Session, (iv) the Content entered by the End User, (v) the correctness and completeness of third-party data within the Tygron Platform.
Article 5Liability and indemnification
5.1Without prejudice to the other provisions in this Article, Tygron shall not, where permitted by law – bear any liability for any loss whatsoever suffered by the End User or any loss Tygron may be held liable for by third parties. Any liability on the part of Tygron, on any account whatsoever, shall at any rate be limited to a compensation of the direct loss, i.e. up to an amount of € 250.
5.2 Tygron shall in no case whatsoever bear any liability for any consequential loss, such as, however not limited to loss of income, loss of profits, loss of Content suffered by the End User as a result of his use of the Tygron Platform.
5.3Tygron shall not be bound by the fulfilment of any obligation, which is prevented by, or the compensation of any loss, which is the result of force majeure. Force majeure includes (i) government measures, (ii) electricity failure, (iii) internet failure, breakdown of the computer network or telecommunication facilities including internet providers and/or datacentres, (iv) war, (v) lock-in, (vi) strike, (vii) defective items, equipment, software or materials, which use has been requested by the Licensee, (viii) force majeure on the part of Tygron, (x) policy changes and/or the suppliers’ default in third-party software.
5.4The capacity of the Tygron Platform has been designed for a fair use by the Licensee of the Tygron Platform– as estimated by the Licensor. If the use of the Tygron Platform (whether or not due to peak loads) requires more capacity than estimated by the Licensor, the Licensor may (temporarily) block access to the Tygron Platform and the Client Application(s), which means that the Tygron Platform can (temporarily) not be used. Tygron is not liable for any resulting loss.
5.5The End User indemnifies Tygron and holds it harmless against any claims, demands, loss and/or costs resulting from or related to the use of het Tygron Platform by the End User, as well as the Content entered by the End User.
Article 6 Applicable Law and other Provisions
6.1 These End-User Terms are governed by Dutch law only.
6.2If any provisions of these Licence Terms are null and void or should be cancelled, the remaining provisions of these Licence Terms shall continue to be fully effective. Tygron and the Licensee shall in that case consult with each other in order to agree to new provisions for the replacement of the null and void or cancelled provisions, while the purpose and the purport of the null and void or cancelled provisions shall be as much as possible in keeping with the replaced provisions.
6.3Where Tygron opts for continuation of an infringement, Tygron shall not be considered to have in any way waived its rights on account of these Licence Terms. Tygron may in such case at any time assert its rights for reasons of its own.
Netherlands

Deze Eindgebruikersvoorwaarden zijn van toepassing bij het gebruik door u (de “Eindgebruiker”) van het Tygron Platform en de Client Applicatie(s) van Tygron B.V. (“Tygron”). Bij de installatie van de Client Applicatie verklaart de Eindgebruiker zich jegens Tygron gebonden aan deze Eindgebruikersvoorwaarden.
Tygron is gerechtigd deze Eindgebruikersvoorwaarden eenzijdig te wijzigen. In voorkomend geval zal de nieuwe versie van de Eindgebruikersvoorwaarden opnieuw geaccepteerd dienen te worden door de Eindgebruiker alvorens verder gebruik te kunnen maken van het Tygron Platform en de Client Applicatie(s). Indien Eindgebruiker het niet eens is met de wijzigingen, dient Eindgebruiker geen verder gebruik te maken van het Tygron Platform en de Client Applicatie(s).
Termen die in deze Eindgebruikersvoorwaarden met een hoofdletter zijn geschreven, hebben de volgende betekenis:
Administrator: de door Licentienemer aangewezen persoon die namens Licentienemer het Domein beheert
Client Applicatie(s): de te downloaden en/of web-based Tygron-applicatie(s) waarmee (met een wachtwoord en gebruikersnaam) toegang wordt verschaft tot het Domein om gebruik te maken van het Tygron Platform
Content: de data of gegevens die door Eindgebruiker zelf worden ingevoerd binnen het Domein
Domein: de afgesloten omgeving binnen het Tygron Platform welke aan Licentienemer ter beschikking is gesteld en waarbinnen Eindgebruiker(s) Content kunnen invoeren en Editor- of Impactsessies kunnen uitvoeren
Editorsessie: de sessie waarbij Eindgebruiker zelfstandig een Ingeladen project bewerkt
Eindgebruikersvoorwaarden: deze voorwaarden die voor elke Eindgebruiker bindend zijn bij het gebruik van het Tygron Platform en de Client Applicatie(s)
IE-rechten: intellectuele eigendomsrechten, zowel geregistreerd als ongeregistreerd, waaronder maar niet beperkt tot, octrooirechten, auteursrechten (inclusief rechten op bron- en objectcodes), databankrechten, merkrechten, rechten met betrekking tot knowhow en bedrijfsgeheimen
Inladen: het in het Domein opstarten van een nieuw Project om dit te kunnen gebruiken in een Editorsessie en/of een Impactsessie
Impactsessie: de sessie waarbij een Project – al dan niet na een Editorsessie - wordt gebruikt door een of meer Eindgebruikers
Licentienemer: de partij waarmee Tygron een overeenkomst heeft afgesloten voor het gebruik van het Tygron Platform en de Client Applicatie(s)
Opslaan: het opslaan van het Project na een Editorsessie en/of een Impactsessie, dan wel het actief houden van een Ingeladen Project
Project: een geografisch gebied binnen Nederland, al dan niet aangevuld met data en/of persoonlijke instellingen van Licentienemer
Tygron Platform: het Tygron Engine server platform bestaande uit een combinatie van software en hardware (o.a. servers)
Artikel 1Rechten Eindgebruiker
1.1Met inachtneming van deze Eindgebruikersvoorwaarden verkrijgt Eindgebruiker via de Client Applicatie toegang tot het Domein van Licentienemer om gebruik te maken van het Tygron Platform.
1.2Het onder lid 1 verkregen recht is niet-exclusief en niet-overdraagbaar en wordt verkregen voor de duur van de licentie tussen Licentienemer en Tygron.
1.3Het is Eindgebruiker niet toegestaan, direct of indirect:
a) het Tygron Platform en/of de Client Applicatie(s) openbaar te maken, te distribueren, verkopen, kopiëren en/of anderszins te verveelvoudigen;
b) het Tygron Platform en/of de Client Applicatie(s) te wijzigen, decompileren, de code te verveelvoudigen, te vertalen of anderszins aan reverse engineering te onderwerpen;
c) het Tygron Platform en/of de Client Applicatie(s) te gebruiken voor een ander doel dan in het kader van Editor- en Impactsessies;
d) virussen, wormen, Trojaanse paarden, rootkits, spyware, hoaxes of andere vormen van malware te (doen) verspreiden;
e) het Tygron Platform en/of de Client Applicatie(s) (proberen) te hacken en/of zich hiertoe op enige andere wijze ongeautoriseerde toegang te (doen) verschaffen;
f) enige aanduiding of verwijzing in het Tygron Platform en/of de Client Applicatie(s) naar Tygron, de exclusieve IE-rechten van Tygron, het vertrouwelijk karakter hiervan, of enige andere verwijzing door Tygron aangebracht, te wijzigen of te verwijderen.
1.4Eindgebruiker staat er verder voor in dat ingevoerde Content geen wet- en regelgeving of rechten van derden schendt. Dit houdt onder andere in dat Eindgebruiker zich onthoudt van:
a) het (doen) achterlaten of (doen) verspreiden van informatie die in strijd is met de wet, de goede zeden en de maatschappelijke zorgvuldigheid;
b) het (doen) wissen, veranderen, onbruikbaar maken van of gegevens toevoegen aan de Client Applicatie(s) of aan geautomatiseerde systemen, computers, databases of servers van Tygron of derden;
c) het – zonder toestemming of andere rechtmatige grondslag - (doen) wissen, veranderen of invoeren van persoonsgegevens van derden;
d) het (doen) invoeren van Content die inbreuk maakt op IE-rechten, of andere wettelijke rechten (zoals privacyrechten), van derden.
1.5Tygron heeft het recht het gebruik van het Tygron Platform en/of de Client Applicatie(s) door Eindgebruiker en de eventuele resultaten voortvloeiende uit de Editor- en/of Impactsessies te controleren op de in dit artikel beschreven beperkingen.
1.6Eindgebruiker is verantwoordelijk voor alle activiteiten die plaatsvinden via het account van Eindgebruiker. Eindgebruiker zal eventuele gebruikersnamen, wachtwoorden en andere toegangsgegevens in het kader van de Applicatie geheim houden en nimmer aan derden verstrekken. Eindgebruiker informeert de Administrator en/of Tygron onmiddellijk indien Eindgebruiker erachter komt dat een derde onbevoegde toegang heeft (gehad) tot zijn account.
Artikel 2Controle gebruik en beperking toegang
2.1 Eindgebruiker is zelf verantwoordelijk voor (i) gebruikmaking van de juiste hardware, die actief is verbonden met het internet, teneinde gebruik te kunnen maken van de Client Applicatie(s). Tygron garandeert niet de compatibiliteit of de juiste werking van de Client Applicatie(s) in combinatie met alle hardware of software van Eindgebruiker. Voor een juiste werking van de Client Applicatie(s) adviseert Tygron gebruik te maken van hardware, software en systemen die voldoen aan de systeemeisen zoals voorgeschreven door Tygron. Tygron is nimmer niet aansprakelijk voor schade als gevolg van incompatibiliteit van hardware of software van Eindgebruiker met de Client Applicatie(s).
Tygron kan te allen tijde de toegang tot het Tygron Platform en/of de Client Applicatie(s) (tijdelijk) buiten gebruik stellen of het gebruik daarvan beperken, voor zover dit noodzakelijk is in het kader van onderhoud, dan wel het doorvoeren van updates, releases, aanpassingen of verbeteringen in het Tygron Platform en/of de Client Applicatie(s).
Tygron behoudt zich het recht voor bepaalde berekeningen binnen een Project stop te zetten wanneer de functionaliteit van het Tygron Platform voor andere licentienemers of eindgebruikers wordt beperkt. Tygron is niet aansprakelijk voor de eventuele schade die dit tot gevolg heeft.
Tygron is bevoegd (i) de wijze waarop Eindgebruiker gebruik maken van het Tygron Platform en/of de Client Applicatie(s), (ii) de met de Impactsessies en Editorsessie verkregen resultaten, (iii) de Content van Eindgebruiker, te controleren.
Tygron bewaart deze data als bedoeld in artikel 2.4 vertrouwelijk voor ten minste de duur van de overeenkomst met Licentienemer en tot twee jaar daarna, behoudens geanonimiseerde gegevens welke voor statistische doeleinden langer bewaard kunnen worden. Tygron wendt de data slechts aan: (i) ter verbetering en actualisering van het Tygron Platform en/of de Client Applicatie(s) en (ii) controle op de naleving door Eindgebruiker van de verplichtingen voortvloeiende uit de overeenkomst, respectievelijk deze Eindgebruikersvoorwaarden.
Indien Eindgebruiker inhoudelijke support nodig heeft met betrekking tot het gebruik van het Tygron Platform en/of de Client Applicatie(s) dient de Eindgebruiker zich tot de Administrator te wenden die namens Licentienemer aan de Eindgebruiker toegang heeft verschaft tot de Client Applicatie(s).
Artikel 3Intellectuele Eigendomsrechten
3.1Alle IE-rechten betreffende het Tygron Platform, de Client Applicatie(s) en de overige door Tygron aangeboden diensten, berusten exclusief bij Tygron en/of haar licentiegevers. Eindgebruiker verkrijgt uitsluitend een beperkt en tijdelijk gebruiksrecht ten aanzien van het gebruik van het Tygron Platform binnen het Domein en onder de voorwaarden van deze Eindgebruikersvoorwaarden.
3.2Onderdelen van het Tygron Platform en de Client Applicatie(s) maken gebruik van software van derden en/of open source software (gezamenlijk de “third party software”). Verwijzingen naar dergelijke third party software en/of bijbehorende (licentie)voorwaarden zijn opgenomen in het Tygron Platform en de Client Applicatie(s). Het gebruik van de third party software is onderworpen aan de desbetreffende (licentie)voorwaarden, welke op eerste verzoek door Tygron aan Eindgebruiker kunnen worden verstrekt.
3.3Het is Tygron te allen tijde toegestaan technische voorzieningen aan te brengen ter bescherming van het Tygron Platform, de Client Applicatie(s) (inclusief de bijbehorende IE-rechten) en/of de third party software, ook als dat leidt tot een beperking van het gebruik. Het is Eindgebruiker nimmer toegestaan een dergelijke technische voorziening te (laten) verwijderen of te (laten) omzeilen.
Artikel 4Disclaimer
4.1 Ondanks dat het Tygron Platform en de Client Applicatie(s) met grote zorg zijn samengesteld, garandeert Tygron niet dat deze foutloos werken en/of zonder gebreken zijn. Het Tygron Platform en de Client Applicatie(s) worden aangeboden ‘AS IS’. Voor zover wettelijk is toegestaan, wijst Tygron alle uitdrukkelijke of impliciete garanties van de hand, met inbegrip van de impliciete garantie dat het Tygron Platform en de Client Applicatie(s) geschikt zijn voor een bepaald doel.
4.2Tygron biedt geen garanties ten aanzien van, en is niet aansprakelijk voor schade als gevolg van: (i) het niet voldoen van het Tygron Platform en/of de Client Applicatie(s) aan de verwachtingen van Eindgebruiker, (ii) het niet, niet zonder fouten, of niet ononderbroken, beschikbaar zijn van het Tygron Platform en/of de Client Applicatie(s), (iii) de effectiviteit, nauwkeurigheid of betrouwbaarheid van de resultaten die zijn verkregen middels een Editorsessie en/of Impactsessie, (iv) de door Eindgebruiker ingevoerde Content, (v) de juistheid en volledigheid van data van derden binnen het Tygron Platform.
Artikel 5Aansprakelijkheid en vrijwaring
5.1Onverminderd de overige bepalingen in dit artikel is Tygron – voor zover wettelijk is toegestaan - niet aansprakelijk voor schade in welke zin dan ook die Eindgebruiker lijdt of waar Tygron door derden voor aansprakelijk wordt gehouden. De eventuele aansprakelijkheid van Tygron, uit welke hoofde dan ook, is in ieder geval beperkt tot vergoeding van de directe schade, zulks tot een bedrag van 250 euro.
5.2 Tygron is in geen geval aansprakelijk voor indirecte schade, zoals maar niet beperkt tot, gederfde inkomsten, gederfde winst, verlies van Content, die Eindgebruiker lijdt als gevolg van het gebruik door Eindgebruiker van het Tygron Platform.
5.3Tygron is niet gehouden tot het nakomen van enige verplichting die verhinderd wordt door, of de vergoeding van enige schade die het gevolg is van, overmacht. Onder overmacht wordt mede verstaan: (i) overheidsmaatregelen, (ii) elektriciteitsstoring, (iii) storing van internet, computernetwerk- of telecommunicatiefaciliteiten waaronder internetproviders en datacenters, (iv) oorlog, (v) werkbezetting, (vi) staking, (vii) de gebrekkigheid van zaken, apparatuur, programmatuur of materialen waarvan het gebruik door Licentienemer is verzocht, (viii) overmacht van toeleveranciers van Tygron, (ix) beleidswijzigingen en/of het tekortschieten door leveranciers van third party software.
5.4De capaciteit van het Tygron Platform is ingericht op een redelijk – en het door Licentiegever geschatte – gebruik van het Tygron Platform door Licentienemer. Indien het gebruik van het Tygron Platform (al dan niet door piek belasting) meer capaciteit vergt dan door Tygron ingeschat, kan Tygron de toegang tot het Tygron Platform en de Client Applicatie(s) (tijdelijk) blokkeren waardoor het gebruik van het Tygron Platform (tijdelijk) niet mogelijk is. Tygron is niet aansprakelijk voor de eventuele schade die dit tot gevolg heeft.
5.5Eindgebruiker vrijwaart Tygron en stelt Tygron schadeloos voor alle vorderingen, eisen, schade en/of kosten die voortvloeien uit of betrekking hebben op het gebruik van het Tygron Platform door Eindgebruiker, alsmede de door Eindgebruiker ingevoerde Content.
Artikel 6 Toepasselijk recht en overige bepalingen
6.1 Deze Eindgebruikersvoorwaarden worden exclusief beheerst door het Nederlands recht.
6.2Indien enige bepaling van deze Licentievoorwaarden nietig is of vernietigd wordt, zullen de overige bepalingen van deze Licentievoorwaarden onverminderd van kracht blijven. Tygron en Licentienemer zullen in dat geval in overleg treden met het doel nieuwe bepalingen ter vervanging van de nietige of vernietigde bepalingen overeen te komen, waarbij zoveel mogelijk het doel en de strekking van de nietige dan wel vernietigde bepalingen in acht wordt genomen.
6.3Indien Tygron er voor kiest een inbreuk te laten voortbestaan, heeft dit niet tot gevolg dat Tygron op enige wijze afstand heeft gedaan van haar rechten uit hoofde van deze Licentievoorwaarden. Tygron kan in zodanig geval te allen tijde om haar moverende redenen alsnog overgaan tot handhaving van haar rechten.
